These Terms of Service ("Terms") govern your access to and use of the services, software, and websites provided by Tessera AI Limited ("Tessera", "we", "us", or "our"), a company incorporated in England and Wales with registered office at Flat 23, 163 Iverson Road, London, England, NW6 2RB. By creating an account or using our Services, you agree to be bound by these Terms.
1. Services and Accounts
Tessera provides AI-powered workflow and tracking tools, including the Tracker Agent and future Tessera products (the "Services"). You must be at least 18 years old and authorised to act on behalf of your organisation to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
2. Access and Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not reverse engineer, resell, or interfere with the operation of the Services. You must not use the Services to:
• Upload or transmit malicious code or harmful content.
• Infringe the intellectual property or privacy rights of others.
• Attempt to gain unauthorized access to other accounts or systems.
• Use automated systems (e.g., bots, scrapers) to access or extract data.
• Engage in activity that disrupts or degrades the performance of the Services.
Tessera may suspend access if it reasonably believes your use violates these Terms or applicable law.
3. Integrations and Permissions
Some Services integrate with third-party applications such as Gmail, Outlook, or CRM systems. By connecting your accounts, you authorise Tessera to access and process the necessary data from those systems to provide and improve the Services. Your use of third-party platforms remains subject to their respective terms and policies.
4. Subscriptions and Payment
Services are provided on a subscription basis, typically priced per user seat as described in your order form or subscription plan. All fees are payable in advance unless otherwise agreed. Tessera may adjust pricing upon renewal with prior notice. Taxes, including VAT, are the responsibility of the Customer.
5. Intellectual Property
All intellectual property rights in the Services remain the exclusive property of Tessera and its licensors. You are granted a limited, non-exclusive, non-transferable licence to use the Services for your internal business purposes. You may provide feedback to Tessera, which Tessera may use freely to improve its products and services.
6. Confidentiality
Each party agrees to protect the other's confidential information and not to disclose it to third parties, except as required by law. Confidential information includes security documentation, audit reports, and non-public technical information. Tessera may share confidential data with subprocessors under strict confidentiality and security obligations. This obligation survives termination of these Terms.
7. Data Protection
7.1 Compliance. Tessera's processing of personal data is governed by our Privacy Policy available at https://app.usetessera.com/privacy. By using our Services, you consent to the collection and processing of data as described therein.
7.2 Security Program. Tessera maintains an Information Security Management System aligned with ISO 27001 and SOC 2 Type II standards. Controls include encryption of data in transit and at rest, access control, secure software development, vulnerability management, and regular third-party penetration testing.
7.3 Subprocessors. Tessera may use subprocessors to support its operations. Tessera ensures that subprocessors are subject to equivalent data protection and security obligations. A list of subprocessors is available upon request.
7.4 Incident Response and Breach Notification. Tessera shall notify affected users without undue delay and no later than seventy-two (72) hours after becoming aware of a confirmed personal data breach that materially impacts their data.
7.5 Data Retention and Deletion. Upon account closure or termination, Tessera will delete or anonymize user data in accordance with its Data Retention Policy, unless retention is required by law.
7.6 Audit and Compliance Evidence. Upon reasonable request and under NDA, Tessera may provide summary reports or certifications evidencing compliance with ISO 27001 or SOC 2 Type II standards.
8. Service Availability and Support
Tessera will use commercially reasonable efforts to maintain the availability and reliability of the Services. Scheduled maintenance, upgrades, and emergency outages may occur, during which access may be temporarily limited. Tessera will provide reasonable notice of planned downtime whenever possible.
9. Disclaimers and Limitation of Liability
The Services are provided 'as is' without warranties of any kind. To the maximum extent permitted by law, Tessera's liability for any claim arising under these Terms shall not exceed the fees paid by you for the Services in the 12 months preceding the event giving rise to the claim. Tessera shall not be liable for indirect or consequential losses.
10. Termination
You may terminate your subscription at any time in accordance with your plan terms. Tessera may terminate or suspend access if you breach these Terms or fail to pay fees. Upon termination, your access to the Services will cease, and your data will be handled in accordance with our Privacy Policy. Termination does not relieve you of any outstanding payment obligations.
You may delete your account at any time through your profile settings at app.usetessera.com/profile. Upon account deletion:
• Your personal data will be permanently deleted within 30 days
• Data stored in your Google Drive (folders, sheets) remains yours and is not affected
• We retain an anonymized copy of your data for 30 days to allow for dispute resolution

11. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. The courts of England shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms. Before initiating formal proceedings, the parties shall use reasonable efforts to resolve disputes in good faith.
